Terms of Service

These Terms of Service (“Terms”) govern your use of the Soar Aerial Ridesharing website soaraerial.com and any related products, applications, and services offered by Soar Technologies Inc. (“Soar,” “we,” “us,” or “our”) — collectively, the “Services.”

By using the Services you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

1. Who we are

Soar Aerial Ridesharing is a DBA and trademark of Soar Technologies Inc., a Delaware corporation. Soar Technologies Inc. is not a direct air carrier, but carries indirect air carrier authority pursuant to 14 CFR Part 380. Direct air carrier services, when launched, will be performed by Soar Technologies Inc.’s wholly-owned subsidiaries or by partner certificated Part 135 air carriers operating under 14 CFR Part 135.

2. Eligibility

You must be at least 18 years old to use the Services. By using the Services you represent that you meet this requirement and that all information you provide is accurate and complete.

3. The Services today

The Services currently include this website, the waitlist for early access, applications for prospective pilots and aircraft owners, and informational content about Soar. Air transportation services are not yet available for booking. Nothing on the Services constitutes an offer to sell air transportation, an offer of a specific flight, or a commitment to provide service by any specific date.

4. Waitlist and early-access communications

When you join the waitlist we may send you email and, if you provide a mobile number and consent, SMS messages about your waitlist status, our launch progress in your region, and product updates. You can unsubscribe from email at any time using the unsubscribe link in any message, or by emailing hi@soaraerial.com. You can unsubscribe from SMS by replying STOP as described in Section 5.

5. SMS & text messaging

By providing your mobile phone number and consenting to receive text messages from Soar (for example, by submitting the waitlist form with the SMS consent checkbox), you agree to receive text messages from us or on our behalf.

Message categories may include:

• Waitlist status and launch updates in your region
• Booking confirmations, ride notifications, pilot arrival updates, and receipts (once Services go live)
• Occasional product announcements and account-related messages
• Customer-support responses

Message frequency varies by your activity. Most users receive fewer than four messages per month before service launches in their region.

Message and data rates may apply. Standard carrier rates apply to messages you send and receive. Contact your mobile carrier for the details of your plan.

To opt out of Soar SMS messages, reply STOP to any message you receive from us. We will send one confirmation and stop sending further messages. Reply START to resume.

6. Acceptable use

You agree not to:

• Use the Services for any unlawful purpose or in violation of these Terms.
• Attempt to gain unauthorized access to the Services or circumvent any security measures.
• Interfere with or disrupt the Services or the servers or networks that support them.
• Submit false, misleading, or fraudulent information — including on pilot or aircraft-owner applications.
• Scrape, harvest, or aggregate content or data from the Services without our written permission.

7. Intellectual property

The Services and all content, features, and functionality (including text, graphics, logos, and software) are owned by Soar or its licensors and are protected by U.S. and international copyright, trademark, and other laws. Nothing in these Terms grants you a license to use the Soar name, logos, or trademarks.

8. Third-party services

The Services may contain links or connections to third-party websites or services (for example, the invest.soaraerial.com or invest.highlander.ai/soar investment platforms linked from our /invest page). Those services are governed by their own terms and privacy policies, not ours, and we are not responsible for their content or practices.

9. Disclaimer

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY LAUNCH TIMELINES DESCRIBED ON THE WEBSITE WILL BE MET.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOAR AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES.

11. Indemnification

You agree to defend, indemnify, and hold harmless Soar and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Services or your violation of these Terms.

12. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.

13. Changes to these Terms

We may update these Terms from time to time. When we do, we will post the updated Terms here with a revised effective date. For material changes we will provide additional notice (for example, by email or in-Service notification). Your continued use of the Services after the changes take effect constitutes acceptance of the updated Terms.

14. Termination

We may suspend or terminate your access to the Services at any time, with or without cause and with or without notice. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive.
